Kera Group acquired BMI Group's roof window businesses in Norway, Poland, Denmark, and Sweden on 25 September 2020.
BMI Group ("BMI") is Europe's largest manufacturer of roofing and waterproofing solutions. BMI's roof window and smoke ventilation business has operated under the Everlite brand in Norway, Awak in Poland, Optilite in Denmark, and Brave in Sweden. The acquisition included the units' production facilities in Røyken, Buk, Horsens, and Viskafors, which together employ approximately 100 people.
Kera Group is a market leader in its field, and the acquisition strengthens the Group's position in the smoke ventilation and roof window sectors across Scandinavia and Eastern Europe. Following the transaction, Kera Group operates in nine countries. The Group's headquarters and two production facilities are located in Orimattila, Finland. Prior to the acquisition, Kera Group already had subsidiaries in Estonia, Sweden, Russia, Latvia, and Lithuania. After the transaction, the Group employs approximately 260 people, including 100 in Finland.
BDO acted as advisor to Kera Group Oy throughout the acquisition process, from the valuation of the target companies and the initial negotiations through the preparation of the offer, the execution of due diligence processes, the drafting of transaction documents, and the final negotiations.
